• preparing draft articles of association according to the Client’s expectations
• parallel consulting the articles of association with notary (if notarial deed is required)
• participation of our lawyers during preparation of the notarial deed and other documents drawn up by a notary
• representing our Client in front of the registry courts and administrative bodies, in particular submitting motion for registry in National Entrepreneurs Registry, Tax Office, Statistical Office and Social Security Office

Furthermore we help our Clients with conversion, mergers and acquisitions of the commercial companies, prepare minutes of the shareholders’ general meetings, board members’ resolutions and much more.

Asserting claims in a court is unfortunately still an inherent part of every business activity. We are aware how inconvenient process can it be for our Clients, therefore we conduct the litigations limiting the personal engagement of our Clients (executives, employees) to the necessary minimum. We supervise the proceedings and check its progress a.o. with respect to its lawfulness, and inform constantly our Client about any matters of importance.

We perfectly understand that obtaining a positive court’s decision itself does not satisfy needs and expectations of our Clients. Therefore we put much effort to conduct quick and effective execution of the debt in order to bring the potentially disturbed liquidity of our Client within shortest possible term.

Instantly after obtaining the enforcement order we direct the case to the chosen bailiffs. The bailiff is chosen after consulting it with the Client. For making a choice we consider a.o. our prior experience concerning effectiveness of the bailiff, seat and location of the debtor’s assets. All that in order to optimize the effects of the compulsory execution proceedings. Additionally we supervise actions taken by the bailiff and if possible we participate in them, informing the Client about this.

Furthermore we represent our Clients (acting as obligee) in bankruptcy and arrangement proceedings. 

Our services include complex analysis of the occurrence, evaluation of chances and risks as well as costs of the indemnity proceedings including court’s fees. In your name we notify the insurance company (if the occurrence is covered by the insurance) or a person obliged to indemnify the damage about your claim. If the respective indemnity is not provided we represent you in front of the court (if you decide so). We are up to date – we monitor a.o. the courts’ decisions delivered in similar cases and the newest judgments of the Supreme Court. We help our Clients a.o. in the following indemnity cases:
